Terms of Use & End User License Agreement

These Terms of Use and End User License Agreement (the “Terms”) govern your access to and use of the websites, trade portal, and services operated by ND Channel Corp (“ND Channel,” “we,” “us”). By accessing or using the site or portal, you agree to these Terms. If you do not agree, do not use the service.

1. Eligibility & accounts

The trade portal is offered to verified business customers (jewelry retailers, designers, and manufacturers) by invitation only. Accounts are issued by ND Channel; you may not create an account yourself. You are responsible for keeping your credentials confidential and for all activity under your account. Notify us immediately of any unauthorized use.

2. Trade pricing & quotes

Prices, carat weights, and estimates shown in the portal are indicative and based on the prevailing daily metal fix. They are not binding offers. A price becomes firm only when confirmed by ND Channel on a written quote or order acknowledgment. Quoted metal-price locks apply only for the stated window. ND Channel may correct pricing or specification errors at any time before an order is confirmed.

3. Orders, payment & credit

All orders are subject to acceptance by ND Channel. Items are bench-made to order; cancellation or change may not be possible once production begins. Approved customers may be extended NET-30 trade credit at ND Channel’s discretion and subject to credit limits, which may be adjusted or withdrawn. Past-due balances may pause new orders.

4. Permitted use & license

ND Channel grants you a limited, non-exclusive, non-transferable, revocable license to use the portal solely for legitimate trade purchasing on behalf of your business. You may not: resell or share portal access; scrape, copy, or republish catalog data or pricing; use the service to benefit a competitor; reverse-engineer the platform; or use it for any unlawful purpose.

5. Customer-supplied materials

Where you supply metal or stones, you represent that you have lawful title to them and that they are conflict-free and accurately described. Gram-weight reconciliation is tracked in your metal account; ND Channel is not liable for discrepancies arising from inaccurate customer declarations.

6. Intellectual property

All site content, designs, photography, the pricing engine, and software are owned by ND Channel or its licensors and are protected by law. These Terms grant you no ownership rights.

7. Confidentiality

Trade pricing, quotes, and account terms are confidential to your business and ND Channel. You agree not to disclose them to third parties except as needed to conduct your business.

8. Disclaimers & limitation of liability

The service is provided “as is” without warranties of any kind to the fullest extent permitted by law. ND Channel is not liable for indirect, incidental, or consequential damages. Our total liability for any claim relating to an order is limited to the amount paid for that order.

9. Compliance

Customers must comply with applicable anti-money-laundering and sanctions laws. See our AML program statement. ND Channel may request identifying information to meet its compliance obligations.

10. Changes & governing law

We may update these Terms; continued use means acceptance of the changes. These Terms are governed by the laws of the State of New York, without regard to conflict-of-laws rules, and disputes are subject to the courts located in New York, NY.
